1. Agreement to Terms
By accessing or using Tempo Talent ("the Platform"), you agree to be bound by these Terms of Service. If you do not agree with any part of these terms, you may not access the Platform.
Tempo Talent Limited is a company registered in New Zealand. These terms apply to all users of the Platform, including candidates seeking work and employers seeking talent.
2. Description of Service
Tempo Talent is a marketplace connecting skilled office professionals ("Candidates") with businesses seeking on-demand talent ("Employers") in New Zealand. The Platform operates on a pay-per-introduction model.
3. User Accounts
Registration
To use certain features of the Platform, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate.
Account Security
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised access or security breach.
4. Fees and Payment Terms
4.1 For Employers
Employers agree to pay a flat introduction fee of NZD $175 (plus GST) per Candidate introduction (the "Introduction Fee"). This fee is earned and charged at the moment the Employer requests an introduction to a specific Candidate through the Platform.
4.2 Deliverables
Each paid Introduction Fee entitles the Employer to:
- Direct Access: Provision of the Candidate's direct contact information.
- Verified Data: Access to the Candidate's verified profile information.
- The Triple Guarantee: Protective provisions as outlined in Section 4.3.
4.3 The Triple Guarantee
To ensure the integrity of the marketplace, all introductions are backed by the following guarantees:
- Availability Guarantee: Introduction Fees are only applicable to Candidates who have confirmed their current availability. If a Candidate's status changes or they become unavailable prior to engagement, Tempo Talent will issue an immediate credit to the Employer's account.
- The "Perfect Match" Promise: If during the initial interview the Candidate's skills do not align with their Tempo Talent profile, the Employer must notify the Platform within 48 hours of payment of Introduction Fee. Upon notification, the Employer may elect to receive a full refund or a replacement introduction at no additional cost.
- SME Success Credit: If a hire is made but the engagement is terminated by either party within the first five (5) working days, Tempo Talent will provide a 100% credit toward the Employer's next introduction.
4.4 For Candidates
Registration, profile creation, and placement services are provided free of charge for Candidates. Tempo Talent does not charge Candidates any fees for the use of the Platform or for securing engagements.
5. User Conduct
When using the Platform, you agree not to:
- Provide false or misleading information in your profile or communications.
- Use the Platform for any unlawful purpose or in violation of these terms.
- Harass, abuse, or harm another person through the Platform.
- Circumvent the Platform to avoid paying introduction fees.
- Scrape, crawl, or use automated means to access the Platform.
- Interfere with or disrupt the Platform's operation.
6. Intellectual Property
The Platform and its original content, features, and functionality are owned by Tempo Talent and are protected by New Zealand and international copyright, trademark, and other intellectual property laws.
By submitting content to the Platform (including profile information), you grant us a non-exclusive, worldwide, royalty-free licence to use, display, and distribute that content in connection with providing our services.
7. Disclaimers
The Platform is provided on an "as is" and "as available" basis. Tempo Talent makes no warranties, expressed or implied, regarding:
- The suitability of any candidate for a particular role.
- The accuracy of information provided by users.
- The outcome of any employment relationship facilitated through the Platform.
Tempo Talent is not an employment agency and does not act as an employer of candidates listed on the Platform.
8. Limitation of Liability
To the maximum extent permitted by New Zealand law, Tempo Talent shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform.
Our total liability for any claims arising under these terms shall not exceed the amount you paid to us in the 12 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Tempo Talent Limited, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform or violation of these terms.
10. Termination
We may terminate or suspend your account and access to the Platform at our sole discretion, without notice, for conduct that we believe violates these terms or is harmful to other users, us, or third parties.
You may close your account at any time by contacting us. Upon termination, your right to use the Platform will immediately cease.
11. Governing Law
These terms shall be governed by and construed in accordance with the laws of New Zealand. Any disputes arising from these terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of New Zealand.
12. Changes to Terms
We reserve the right to modify these terms at any time. We will notify users of any material changes by posting the updated terms on the Platform. Your continued use of the Platform after such changes constitutes acceptance of the new terms.
